Section 1. Introduction; Agreement to Terms

1.1 Binding Agreement

Welcome to Hitop, which is provided by FUNETICS PTE. LTD.. You are currently reviewing these Terms of Service (hereinafter referred to as the "Terms"). These Terms govern the relationship between you and us, constitute a binding agreement between the parties, and set forth the terms and conditions that apply to your access to and use of Hitop, as well as Hitop’s related websites, services, applications, products, and content (collectively referred to as the "Service(s)").

PLEASE NOTE THAT SPECIFIC HITOP SERVICES MAY BE SUBJECT TO SEPARATE TERMS AND CONDITIONS.

1.2 Acceptance Mechanism

By accessing or using the Services, you:

(a) Accept these Terms and all incorporated documents;

(b) Acknowledge that H will treat such use as acceptance;

(c) Agree that non-acceptance requires immediate cessation of all Service use.

1.3 Ability to These Terms

You confirm that you are either at least 18 years old or have reached the age of majority in the jurisdiction where you access the Hitop Services (whichever is higher). By using the Services, you further confirm that you have the full legal capacity to enter into, understand, and comply with all terms, conditions, obligations, representations, and warranties outlined in these Terms.If you are under 18 (or under the applicable age of majority in your jurisdiction, referred to as " Minor "), you may only use the Services if a parent or legal guardian supervises your use—and that parent or legal guardian explicitly agrees to be bound by all provisions of these Terms—and that parent or legal guardian accept responsibility for monitoring and supervising the minor’s use of the Services, including ensuring their interaction with the Services complies with these Terms . Before using the Services, please ensure your parent or legal guardian has reviewed these Terms in full and discussed their content with you;otherwise,you must stop accessing or using the Services.

If you believe a minor is using the Services without proper parental/guardian permission, please contact us immediately at contactus@funeticspte.com . We will promptly assist with disabling their access to the Services or deleting their account, as requested.

1.4 Restricted Jurisdictions

To comply with applicable legal requirements and regulatory guidelines, Hitop currently does not offer services to, conduct business with, or accept payments from individuals or entities in the following regions: Cuba, Iran, North Korea, Sudan, Syria, Crimea, the Donetsk People's Republic (DNR), and the Luhansk People's Republic (LNR).

Pursuant to these Terms, residents of these regions are currently unable to access or use Services. We understand this may cause inconvenience, and we appreciate your understanding as we work diligently to ensure full compliance with all relevant regulations.

1.5 Except as provided in Section 11, YOU AGREE THAT YOU MAY BRING CLAIMS AGAINST US ONLY ON AN INDIVIDUAL BASIS, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.All Disputes shall be resolved individually by the courts of Singapore in accordance with Section 11, where proceedings are conducted solely by a judge. The court may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary for that party’s individual claim. Disputes of multiple users cannot be consolidated. If a court determines via a final, non-appealable decision that any limitation in this section is invalid or unenforceable as to a particular claim or remedy, that specific claim or remedy shall be severed and litigated exclusively in the courts of Singapore. This section does not preclude either party from participating in a class-wide settlement.

1.6 Amendments

We may make changes to these Terms from time to time.Unless otherwise required by law, we will notify you of any material changes to these Terms and give you an opportunity to review them before they apply. Where we need to make urgent changes, for example, for security, safety, legal or regulatory reasons, we may not be able to provide you with advance notice, but we will let you know as soon as we are reasonably able to do so.You agree to regularly review the Terms to stay informed of the latest changes, and to review the Terms whenever you receive a notice from us that the Terms have been updated. The “Last Updated” date will reflect the effective date of the Terms. If you continue to use the Services after any updated Terms are in effect, you agree to be bound by the updated Terms. Such Terms supersede all prior versions of the Terms unless a particular provision of the updated Terms states otherwise.You should print off or save a local copy of the Terms for your records.


Section 2. Paid Services

2.1 General Conditions

Some Hitop features (called "Paid Services," e.g., subscriptions(see the PREMIUM MEMBERSHIP SERVICE AGREEMENT, virtual asset purchases) require payment to use.We has sole discretion to set or change fees for Paid Services. Before you use a Paid Services, we will clearly tell you it requires payment—including fee amount, billing frequency, accepted payment methods, and key terms (e.g., access time, feature limits). The Paid Services won’t activate unless you acknowledge this info.

To access Paid Services, you must: (1) pay applicable fees via accepted methods (e.g., credit card, digital wallet); (2) agree to the specific charges, billing terms, and extra conditions for that service. Missing either step means you can’t use the Paid Services.If you don’t pay (e.g., declined payment, unpaid bills), Hitop is not obligated to provide the Paid Services. We may suspend/terminate your access or restrict features, with no liability for related disruptions. Where allowed by law, we may also pursue unpaid fees.

2.2 Payment Processing

Paid Services require prepayment and are processed by authorized third-party providers (e.g., Google Pay, Apple Pay). These processors handle payment authentication and transfers under their own terms and privacy policies, which you agree to bound by when completing a transaction. While Hitop selects reputable processors, we are not liable for payment processing errors, delays, or breaches directly caused by the third-party processor, unless otherwise required by applicable local law.

Services (including Paid Services) may be temporarily unavailable due to maintenance or technical disruptions. Hitop will make reasonable efforts to restore access promptly. If a Paid Service is permanently discontinued by Hitop, we will provide you with a pro-rata refund for any pre-paid or alternatives at our discretion, unused portion of the service.

NOTICE ON ACCOUNT DELETION: IF YOU VOLUNTARILY DELETE YOUR ACCOUNT, UNUSED PAID SERVICES AND VIRTUAL ASSETS MAY BE FORFEITED. IF HITOP TERMINATES YOUR ACCOUNT FOR A MATERIAL BREACH OF THESE TERMS, YOU WILL NOT BE ENTITLED TO A REFUND, UNLESS LEGALLY REQUIRED BY APPLICABLE LOCAL LAW.

PLEASE NOTE THAT PAID SERVICES ARE LOST IF YOUR ACCOUNT IS DELETED OR TERMINATED, WITH NO REFUNDS UNLESS TERMINATION IS LEGALLY WRONGFUL.

2.3 Refund and Cancellation Policy

A. Statutory Right of Withdrawal (EU/UK Consumers Only)

If you reside in the European Union or the United Kingdom, you have a statutory right to withdraw from this contract within 14 days of purchase without giving any reason. However, for digital content or instant Paid Services, you expressly agree that the service begins immediately upon purchase and acknowledge that you lose your right of withdrawal once the digital content is fully delivered or performance has begun with your prior consent. For subscriptions, you may cancel within 14 days and receive a pro-rata refund for the remaining unused period.

B. General Refund Policy

Except as provided in Section 2.3(A) or required by applicable local laws, all payments for Paid Services are generally non-refundable. Hitop will issue a refund or credit if a verified technical error caused directly by Hitop prevents you from accessing your purchase (e.g., failed activation after successful payment, or duplicate charging).

C. Payment Disputes and Chargebacks

We encourage you to contact Hitop Support first to resolve any billing issues. If you initiate an unauthorized, fraudulent, or bad-faith payment dispute (such as an unjustified chargeback with your card provider), Hitop reserves the right to suspend or terminate your account and deduct any associated virtual assets. We will not take disciplinary action if the dispute arose from a proven billing error on our part or verified unauthorized third-party fraud. Approved refunds will be issued to the original payment method.

D. For orders paid through third-party app stores (Apple App Store, Google Play), refunds shall follow the refund rules of the corresponding platforms, and we will cooperate with verification.

2.4 Non-Property Declaration

You acknowledge and agree that Hitop’s Paid Services (e.g.virtual assets) have these core traits:

(a) No real monetary value: They aren’t equivalent to real currency. The amount you pay to access Paid Services reflects the cost of the service itself (e.g., feature access, virtual assets) and does not represent a “purchase” of an asset with cash-equivalent value. For example, purchasing 1,000 in-application Coins for $10 does not mean those Coins hold $10 of real monetary value.

(b) Not legal tender or property: They can’t settle external debts/taxes, aren’t protected like physical property (e.g., no “theft” claims unless local law requires it), and only give you a limited, revocable license to use them on Hitop.

(c) No outside redemption: They have no stored value for cash, real goods, or third-party services. Unused Paid Services can’t be converted to external credits, and their “value” only works on  Hitop (ending if your access iss suspended, terminated, or discontinued).

(d) Non-transferable and non-exchangeability: Paid Services are non-transferable and non-exchangeable—you may not sell, trade, barter, gift, assign, or otherwise transfer them to another user, third party, or platform (whether through legal means, informal arrangements, or unauthorized channels). This includes:

(i) Prohibitions on selling Paid Services(e.g., virtual assets) via third-party marketplaces (e.g., online forums, social media, or dedicated websites);

(ii) No gifting of subscription access or virtual currency to other Hitop accounts (unless explicitly permitted by a Hitop-approved feature);

(iii) No exchanging of Paid Services for other virtual or real-world items (e.g., trading in-application coins for another user’s digital content or physical goods).

Any attempt to transfer or exchange Paid Services in violation of this provision may result in immediate suspension or termination of your account, forfeiture of all Paid Services, and/or other legal action (where permitted by law).


Section 3. Your Account with Us

3.1 Account Creation Requirements

Access to certain Services of  Hitop requires you to complete account registration first. During the registration process, you must provide accurate, true, and up-to-date information (including but not limited to your mobile phone number and account password, as required by the registration process). You are also obligated to promptly update such information in a timely manner to maintain its completeness, accuracy, and validity at all times.

If any information you provide is untrue, inaccurate, outdated, or incomplete, we reserve the right to refuse your registration request, suspend your account access, or restrict your use of the relevant Services, without assuming any liability for the consequences arising therefrom.

3.2 Account Naming Restrictions

You expressly agree that you will not use any prohibited names (including but not limited to account usernames, nicknames, or other identifiers associated with your use of the Services) that fall into the following categories:

(a) Names corresponding to the identities of public figures, including but not limited to their legal real names, stage names, well-known pseudonyms, or other identifiers that are sufficiently associated with such public figures to cause confusion;

(b) Names that are official designations of governments, government agencies, public institutions, international organizations, or their affiliated entities (e.g., "National Police," "United Nations Office");

(c) Names containing discriminatory terminology (based on race, ethnicity, gender, religion, disability, sexual orientation, or other protected characteristics), obscene, vulgar, pornographic, violent, or otherwise unlawful language that violates applicable laws, public order, or good morals;

(d) Any names that violate national laws, administrative regulations, departmental rules, or other applicable legal provisions, or are likely to cause confusion among other users (e.g., names identical or substantially similar to Hitop’s official name, brand logos, or other users’ existing names) or mislead others into believing they are associated with Hitop or third-party entities.

We reserves the right to take measures against accounts that violate this provision, including but not limited to restricting account functions, suspending account access, or terminating the account. For severe violations (such as using names that incite illegal acts or seriously harm public interests), we may terminate the account without prior notice. If the use of a prohibited name causes losses to Hitop or other users, you shall bear corresponding legal liability and compensate for such losses.

3.3 Account Security Obligations

You shall assume full responsibility for maintaining the security of your account and shall comply with the following requirements:

(a) Maintain password confidentiality,shall not disclose such information to any third party, share your account with others;

(b) Immediately notify Hitop at contactus@funeticspte.com upon any unauthorized access,, or any leakage, theft, or compromise of your access credentials;

(c) Exercise heightened security measures on public devices when accessing the Services through public or shared devices.

Notwithstanding any unauthorized account use(whether due to password leakage, account theft, or other reasons),Hitop shall not be liable for any direct or indirect losses, damages, or expenses incurred by you or any third party arising from such unauthorized use.

3.4 Account Responsibility

You shall bear exclusive and full responsibility for all activities conducted through your Hitop account (including but not limited to account registration, login, use of Service features, content publication,and transactions) .

Even if you claim that the account activities were conducted by unauthorized persons (e.g., account theft, password leakage), you shall still bear preliminary responsibility for proving that you have fulfilled your account security obligations (such as maintaining password confidentiality, promptly notifying Hitop of security incidents) as stipulated in these Terms. If you fail to fulfill such obligations, you may not be exempted from the aforementioned responsibility.

3.5 Account Suspension Rights

Hitop reserves the unilateral right to take account restriction or disabling measures (including but not limited to partial function restriction, temporary account freeze, or permanent account disablement) at its reasonable and sole discretion. Such measures may be enforced in the following circumstances (including but not limited to):

(a) You have materially or repeatedly violated any provision of these Terms;

(b) You have engaged in activities that are reasonably likely to damage, disrupt, or impair the normal operation of Hitop’s Services or infringe upon the legitimate rights and interests of third parties;

(c) You have failed to comply with applicable national or regional laws, administrative regulations, departmental rules, or regulatory requirements;

(d) Your account has been inactive for an extended period (e.g., no login or use of the Services for 12 consecutive months, unless separate rules for specific Services specify a different timeframe);

(e) There is reasonable evidence to confirm that your account is associated with illegal or high-risk activities (such as fraud, money laundering, or assisting others in violating laws or these Terms);

(f)Hitop is legally required to disable the account by competent regulatory authorities, judicial organs, or other legally authorized institutions.

3.6 Account Transfer Prohibition

Your account and its associated rights may not be transferred, sold, traded, leased, lent, gifted,or otherwise alienated (including via legal acts like assignment or inheritance) to any third party, whether for payment or free of charge.

Any such attempt is invalid,if we detect unauthorized alienation (e.g., via abnormal logins or identity inconsistencies), we may restrict, freeze, or disable the account. You bear all resulting losses (e.g., lost access or assets) and must compensate Hitop for related damages.

3.7 Account Deletion Process

You may delete your Hitop account through one of the following two methods:

(a) Online Self-Service Cancellation: You can initiate the deletion independently via the Hitop platform (app or website) by following this path: Setting-Account and Security-Account cancellation-Cancel Account.

(b) Email-Assisted Cancellation: If you encounter difficulties with the online self-service process, you may contact Hitop’s customer support via contactus@funeticspte.com .

Account cancellation is irreversible and will result in the permanent termination of all permissions related to your account. Please proceed with caution. BEFORE INITIATING CANCELLATION, YOU CAN CAREFULLY READ THE ACCOUNT CANCELLATION AGREEMENT (IF APPLICABLE) WHEN YOU CHOOSE TO CANCEL YOUR ACCOUNT.


Section 4. Service Access and Use

4.1 When you access and use the Services, you must comply with the following requirements to ensure your conduct is legal, compliant, and in line with the agreement:

(a) These Terms and any other supporting rules issued by Hitop;

(b) Applicable national/regional laws, administrative regulations, departmental rules, and normative documents;

(c) Hitop’s Community Guidelines,if any.

4.2 You may NOT do any of the following when accessing or using the Services:

(a) Access or use the Services if you lack the full legal capacity to enter into and comply with these Terms (e.g., minors without written parent/guardian authorization—guardians must review these Terms and take responsibility for the minor’s use);

(b) Copy, modify, reverse engineer, decompile, or create derivatives of the Services/content (e.g., software, UI designs); or try to access source code, algorithms, or technical mechanisms (e.g., via packet capture or cracking tools);

(c) Distribute, sell, license, or transfer the Services/derivatives to third parties (e.g., resell access or share Paid Services for profit);

(d) Market, rent, or lease the Services for a fee; charge others for access; or use the Services for commercial ads, solicitations, or promotions (e.g., post third-party ads or send spam);

(e) Use the Services for unauthorized commercial activities (e.g., spam, exploiting users for commercial events);

(f)Interfere with Service operation (e.g., overload servers), disrupt connected networks (e.g., DDoS attacks), or bypass access restrictions (e.g., cracking login verification systems, using proxy tools to evade regional access restrictions);

(g) Incorporate the Services/parts thereof (e.g., APIs, modules) into third-party programs/products;

(h) Use scripts, crawlers, or bots to collect Service data (e.g., scrape profiles) or interact with the Services (e.g., batch register accounts);

(i) Impersonate others/Hitop staff; lie about your identity/affiliations; or make content seem like it comes from/ is endorsed by Hitop;

(j) Intimidate, harass, or bully users; share explicit/pornographic content; advocate violence/cruelty/self-harm; or discriminate based on race, gender, religion, etc.;

(k) Use others’ accounts without authorization or create fake identities (e.g., register with forged info);

(l) Use the Services in a manner that creates a conflict of interest or undermines the legitimate purposes of the Services—such as collaborating with other Users to earn rewards from Hitop;

(m) Use the Services to upload, transmit, distribute, store, or otherwise make available any of the following content:

(i) Files or programs containing viruses, trojans, worms, logic bombs, ransomware, spyware, or other malicious or technologically harmful material that may damage Hitop’s systems, other users’ devices, or data security;

(ii) Unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," or any other prohibited form of commercial solicitation;

(iii) Private information of any third party (including but not limited to physical addresses, phone numbers, email addresses, personal identification document details such as national ID numbers or passport numbers, and credit card or bank account information) without obtaining the explicit written consent of the information owner;

(iv) Material that infringes or may infringe any copyright, trademark, patent, trade secret, privacy right, portrait right, reputation right, or other intellectual property or legal rights of any person or entity;

(v) Material that is defamatory, obscene, vulgar, offensive, pornographic, hateful, inflammatory, or otherwise violates public order and good morals;

(vi) Material that constitutes, encourages, or provides instructions for a criminal offense (e.g., theft, fraud, violence), dangerous activities, or self-harm;

(vii) Material deliberately designed to provoke, antagonize, harass, harm, scare, distress, embarrass, or upset others (including but not limited to "trolling," cyberbullying, or spreading malicious rumors);

(viii) Material containing threats of any kind, including threats of physical violence, property damage, or harm to reputation;

(ix) Material that is racist, discriminatory, or promotes prejudice against any group based on race, religion, age, gender, disability, sexuality, or other protected characteristics;

(x) Answers, responses, comments, opinions, analyses, or recommendations that you are not properly licensed, qualified, or authorized to provide (e.g., offering medical diagnosis without a physician’s license, providing legal advice without being a licensed attorney, or giving investment guidance without financial regulatory approval);

(xi) Material that Hitop, in its sole and reasonable judgment, deems objectionable, restricts or inhibits other users from using the Services, or may expose Hitop, the Services, or its users to harm, liability, or reputational damage;

(n) Use the Services to engage in any conduct that endangers the physical or mental health of minors or violates their legitimate rights and interests (e.g., publicly displaying, uploading, transmitting, or disseminating any content containing minors’ personal information)and engage in inappropriate interactions with minors through the Services, such as-using the Services to coerce minors into sharing private images or verbally abusing minors via in-app messages,sending minors explicit text descriptions, pornographic images, or invitations to meet for sexual purposes, or guiding minors to skip school, use drugs, or participate in pyramid schemes through the Services;

(o)Comply with Hitop’s Community Guidelines at all times when accessing or using the Services.

Hitop reserves the right, at any time and without prior notice, to remove or disable access to any content on the Services at its sole discretion—for any reason or no reason. Common grounds for such action include (but are not limited to) content that is objectionable, violates these Terms or the Community Guidelines, harms the interests of Hitop or other users, or violates applicable laws.

4.3 Restriction of Service Access and Consequences

Hitop reserves the right to restrict, suspend, or limit your access to the Services (including Paid Services) at any time, without prior notice, if any of the following circumstances apply:

(a) You have violated applicable local, national, or international laws, regulations;

(b) You have violated any provisions outlined in these Terms, particularly Section 4.2;

(c) Hitop has reasonable grounds to suspect fraudulent activity, misuse of the Services, or abuse of payment processes (e.g., using stolen payment methods, creating fake accounts to exploit promotions, or manipulating service features);

(d) There is suspected unlawful activity associated with your account.

Such restriction is necessary to protect the integrity of the Services, the safety of other users, or Hitop’s reputation (e.g., mitigating a security breach, preventing harm from harmful content, or addressing actions that disrupt service functionality for others).

In the event your Service access is suspended or terminated (for any reason covered above or otherwise), no refunds, compensation or reimbursements will be provided. This includes (but is not limited to) unused portions of Paid Services, or in-application virtual assets—regardless of whether the suspension/termination results from your non-compliance, suspected misconduct, or Hitop’s protective actions.


Section 5. User-Generated Content (UGC)

5.1 License Grant

For the purpose of this provision, UGC refers to any content that you independently create and submit, upload, post, transmit, or otherwise make available through the Services, including but not limited to text, audio, videos, and derivative works based on lawful content.

You hereby irrevocably grant Hitop and its sublicensees a perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and irrevocable license to exercise the following copyright-related rights in the UGC:

(a) Use, reproduction, modification, and adaptation rights,e.g., displaying the UGC on the Hitop app/website, using it in promotional videos or social media campaigns;

(b) Distribution, performance, and public display rights,e.g., distributing the UGC through Hitop, third-party video streaming services, or partner websites;

(c) Integration and exploitation rights,such as incorporating the UGC into any existing or future media, technology, or service (e.g., integrating a UGC user review into Hitop's introduction page);

This license requires no additional approval or compensation unless a separate signed written agreement is entered into between you and Hitop, which shall supersede the provisions of this section.

If you delete the UGC from the Services in accordance with Hitop’s rules, Hitop will cease any new or additional use of the deleted UGC (excluding uses that have already been made public or incorporated into finished content prior to deletion, for which the license shall remain in effect).

5.2 UGC Responsibility and Disclaimer

You shall be solely and fully responsible for all UGC you submit, upload, post, or transmit through the Services, and shall bear all consequences arising therefrom (including but not limited to legal liabilities, compensation obligations, and dispute resolution costs). Specifically, you warrant and represent that the UGC:

(a) does not violate any applicable laws, administrative regulations, departmental rules, or regulatory requirements;

(b) does not infringe upon any third-party legitimate rights and interests; and does not violate public order or good morals;

(c) is true, accurate, and not misleading;

(d) is appropriate for the target audience of the Services and complies with this Terms and Hitop’s content management rules (if any);

(e) contains elements involving third parties, you have obtained sufficient and legal authorization from such third parties to include and use such elements in the UGC, and to grant Hitop the license as set forth in these Terms.

For any claims, demands, losses, damages, liabilities, or expenses arising from or related to your UGC (e.g., third-party claims for copyright infringement, defamation, or privacy violations), Hitop shall not be held liable. You shall indemnify and hold Hitop, its affiliates, employees, and partners harmless from and against all such claims and losses.

All UGC made available through the Services is provided on an "AS IS" and "AS AVAILABLE" basis. Hitop disclaims all warranties with respect to such UGC, whether express, implied, or statutory.

5.3 Hitop’s Discretionary Rights Over UGC

Hitop reserves the right to:

(a) Remove any UGC from the Services at any time, without prior notice to you, and shall not be liable to you or any third party for such removal;

(b) Take discretionary enforcement actions against UGC that violates applicable rules, including but not limited to restricting the visibility of such UGC (e.g., limiting its reach to other users), labeling it as "non-compliant," or permanently blocking access to it.

5.4 Grounds for Enforcing UGC or Account Measures

Hitop may enforce the above rights (as set forth in Section 5.3) or impose account sanctions (as set forth in Section 5.6) if the UGC or your conduct falls into any of the following categories:

(a) Violations of these Terms (e.g., UGC that promotes commercial solicitation without authorization, or conduct that interferes with Service operations);

(b) Infringement of intellectual property rights (e.g., UGC that uses copyrighted works, trademarks, or patents of third parties without legitimate authorization);

(c) Poses safety threats to users or Hitop (e.g., UGC containing threats of violence, harassment, or instructions for dangerous activities) or creates legal liability risks (e.g., UGC involving illegal financing or fraud).

5.5 Obligations for Legal Cooperation

To comply with applicable laws and regulatory requirements, Hitop shall:

(a) Refer any illegal activities (e.g., UGC related to drug trafficking, child sexual abuse, or terrorist propaganda) to competent law enforcement authorities (such as police departments or regulatory agencies) upon discovery or receipt of valid reports;

(b) Provide user information (to the extent permitted by law) in response to lawful court orders, subpoenas, or official requests from regulatory bodies—including but not limited to account registration details, UGC content, and usage logs—without prior notice to you, where such disclosure is required by law.

5.6 Types of Account Sanctions

In the event of violations of these Terms or applicable laws, Hitop may impose the following account sanctions, depending on the severity and frequency of the violation:

(a) Temporary suspension of account access (e.g., restricting login rights for 1–30 days or more) or partial function restrictions (e.g., disabling the ability to post UGC or send messages);

(b) Permanent termination of the account (i.e., permanent revocation of all access rights to the Services) if any material violation occurs (e.g., repeated intellectual property infringement, use of the account for illegal activities), or if the violation causes significant harm to Hitop or other users.

5.7 Provisions on Content Management

Hitop’s obligations and rights regarding UGC management are as follows:

(a) Hitop has no obligation to pre-screen, review, or approve UGC before it is posted on the Services, unless explicitly required by applicable laws or regulatory authorities;

(b) Hitop retains the discretionary right to monitor UGC on an ongoing basis, remove non-compliant content, or refuse to allow the upload or dissemination of content that violates these Terms or public order and good morals;

(c) Hitop may use automated systems to analyze UGC for the purpose of maintaining Service functionality—including but not limited to detecting and preventing spam or malware (for security purposes), optimizing content recommendations (for personalization), and identifying non-compliant content (for moderation efficiency). Such analysis will be conducted in accordance with Hitop’s Privacy Policy.

5.8 Limitations of Liability for UGC

Hitop shall not be liable to you or any third party for the following matters:

(a) No guarantee is provided that objectionable, non-compliant, or illegal UGC will be removed in a timely manner. The speed of UGC removal may be affected by factors such as the volume of content, technical limitations, or the need for manual verification;

(b) Hitop assumes no liability for any damages, losses, or claims arising from third-party UGC (e.g., losses caused by relying on false information in UGC, or infringement by UGC of your rights) or from Hitop’s content moderation decisions (e.g., disputes arising from the removal of UGC that you claim is compliant).


Section 6. Intellectual Property Protection

Hitop strictly complies with applicable intellectual property laws (including copyright laws of relevant jurisdictions) to protect the legitimate rights of owners.By accessing or using the Services, you expressly acknowledge and agree to be bound by all provisions of policies.

If you are a right owner and believe that any content on the Services infringes your right, you are encouraged to submit a formal infringement notification to Hitop via the dedicated email address contactus@funeticspte.com . The notification shall include mandatory information as required by law (e.g., your full name, contact information, proof of right ownership, specific identification of the infringing content, and a statement of good faith belief that the use of the content is unauthorized).Failure to include necessary information may limit our ability to investigate your claims and may result in your appeal being denied.


Section 7. Trademarks and Limited License

7.1 Trademark Ownership and Restrictions on Use

All trademarks, service marks, logos, and trade names used in connection with the Services (e.g., the "Hitop" brand name, official logo) are either registered trademarks of Hitop or common law trademarks owned by Hitop. These marks are protected by trademark laws and may not be used without Hitop’s prior written consent.

Any third-party trademarks, logos, or trade names displayed on the Services remain the exclusive intellectual property of their respective owners. The display of such marks on the Services does not constitute a license or right to use them—you must obtain separate authorization from the relevant third-party owner before using any of these marks.

No provision in these Terms grants you any license, right, or permission to use Hitop’s trademarks or third-party trademarks, whether for commercial or non-commercial purposes.

7.2 Ownership of Proprietary Works and Limited License

All content and materials provided through the Services—including but not limited to software code, user interfaces, text, images, audio, video, and any other original works (collectively referred to as "Proprietary Works")—are the exclusive intellectual property of Hitop.Subject to your strict compliance with all provisions of these Terms, Hitop grants you a non-exclusive, non-transferable, non-sublicensable, limited, and revocable license to access and use the Services and Proprietary Works solely for personal and non-commercial use.You expressly agree not to engage in any of the following conduct in violation of this license:

(a) Copying, modifying, adapting, reverse engineering, decompiling, disassembling, or creating derivative works of any Proprietary Works (e.g., extracting Service code to provide a similar service);

(b) Republishing, publicly performing, displaying, distributing, or transmitting Proprietary Works to any third party without Hitop’s prior written authorization;

(c) Circumventing, disabling, or tampering with any digital rights management technologies, access control measures, or anti-piracy tools implemented by Hitop to protect Proprietary Works.

7.3 Termination of the License

This limited license automatically terminates immediately upon any breach of these Terms (including but not limited to violations of Section 7.2). Following termination, you must cease all use of the Services and Proprietary Works, and delete any copies of Proprietary Works in your possession or control.

Any continued access to or use of the Services or Proprietary Works after the license has terminated shall constitute copyright infringement or trademark infringement (as applicable), and Hitop reserves the right to pursue legal remedies (including but not limited to claiming damages) against you for such conduct.


Section 8. Indemnification Obligations

8.1 You shall, at your own cost and expense, defend, indemnify, and hold harmless the Hitop Entities* against and from any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses arising out of or in connection with:

(a) Your access to, use of, or misuse of the Service, including any activities conducted through your registered account in relation to the Service;

(b) Any breach or alleged breach by you of any covenant or other obligation set forth in these Terms;

(c) Your violation or alleged violation of any rights of a third party, including but not limited to intellectual property rights, privacy rights, or any applicable laws or regulations;

(d) Any damages, losses, or harm suffered by a third party that is directly or indirectly caused by your UGC, including but not limited to claims of defamation, infringement, misrepresentation, or harm arising from the accuracy, legality, or appropriateness of such UGC.

*"Hitop Entities" means Hitop itself, its operators, parent company, subsidiaries, affiliated companies, licensors, authorized service providers, and each of their respective officers, directors, managers, employees, agents, representatives, shareholders, and successors in interest.

8.2 Scope and Terms of the Indemnification Obligation

This indemnification obligation set forth in Section 8.1 shall:

(a) Survive the termination, expiration, or cancellation of these Terms for any reason, and shall remain in full force and effect for a period consistent with the applicable statute of limitations for claims arising from the acts or omissions giving rise to the indemnification obligation;

(b) Grant to Hitop the exclusive right and control over the defense and settlement of any such claim, suit, or proceeding. This includes, without limitation, the sole authority to select legal counsel to represent the Hitop Entities in such matters and the exclusive discretion to determine whether to settle any such claim;

(c) Encompass all reasonable costs, expenses, and disbursements incurred by the Hitop Entities in connection with the defense or settlement of such claims, including but not limited to reasonable attorneys' fees, court filing fees, expert witness fees, investigation costs, and any damages or settlement amounts paid by the Hitop Entities to resolve such claims.


Section 9. Warranty Disclaimers

9.1 The Services are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind (express, implied, or statutory). To the maximum extent permitted by law,Hitop Entities disclaim all warranties, including:

(a) Implied warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights;

(b) Responsibility for damages related to the Services, including device damage, data loss, or unauthorized access to data from using or inability to use the Services.

9.2 Additional Disclaimer of Liability

To the fullest extent permitted by law, Hitop Entities are not liable for:

(a) Inaccuracies in content (including third-party links) available through the Services;

(b) Personal injury or property damage from using the Services;

(c) Unauthorized access to secure systems or personal data (except from Hitop ties' gross negligence or willful misconduct);

(d) Third-party transmission of malicious code (e.g., viruses) through the Services;

(e) Damages from UGC, including harm caused by UGC or its removal;

(f) Disputes between users of the Services.


Section 10. Limitation of Liability

10.1 TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE MAXIMUM AGGREGATE LIABILITY OF US AND OUR AFFILIATES, SERVICE PROVIDERS AND BUSINESS PARTNERS, AND ITS AFFILIATES, AND EACH OF OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND ADVISORS, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL, UNDER NO CIRCUMSTANCE, EXCEED THE GREATER OF $100 OR THE AMOUNT YOU HAVE PAID US IN THE PAST 12 MONTHS.IF NO AMOUNTS WERE PAID, YOU SHALL NOT BE ENTITLED TO ANY MONETARY OR EQUIVALENT REMEDY.

10.2 IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, STATUTORY, EXEMPLARY, EXPECTATION, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFIT, LOSS OF GOODWILL, INTERRUPTION, LOSS OF BUSINESS INFORMATION OR ANY OTHER FINANCIAL LOSS) IN ASSOCIATION WITH ANY INDIVIDUAL OR CLASS-ACTION CLAIM, OR ANY LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING RELATING TO OR ARISING UNDER OR OUT OF THE TERMS, EVEN IF WE HAVE BEEN NOTIFIED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS FOUNDED UPON CONTRACT, INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, TORT, NEGLIGENCE OR OTHER GROUNDS.

10.3 YOU SPECIFICALLY ACKNOWLEDGE THAT THE SERVICES SHALL NOT BE LIABLE FOR CONTENT OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.

10.4 THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU AGREE NOT TO FILE ANY LAWSUIT OR PROCEEDING INCONSISTENT WITH THE FOREGOING LIABILITY LIMITATIONS.


Section 11. Disputes Resolution

If we have a dispute with you relating to or arising out of these Terms or the Platform, regardless of when the dispute may have arisen or accrued, we will first try and resolve it with you amicably. You agree to do the same for us. Any party raising a dispute will initiate this process by notifying the other. Whichever party receives the notice will have 60 days to respond. If the dispute has not been resolved after the response time has expired, or within 30 days after a response has been issued, whichever is earlier, either party may file legal action against the other. Engaging in this informal dispute resolution process is a requirement that must be completed before filing any legal action. You and we agree that you will make a good faith effort to resolve the dispute amicably before either you or we, along with their respective affiliates, and each of their respective officers, directors, employees, agents, and advisors, file any legal action against the other, and that the statute of limitations and any filing fee deadlines shall be tolled while the parties engage in the informal dispute resolution process.

These Terms and any claims, causes of action, of any kind or character, or demand arising out of or relating to the Terms will be governed by the laws of the Republic of Singapore, without regard to conflict of law principles. Any claim, cause of action or dispute, arising out of or relating to these Terms or Hitop shall also be resolved exclusively in the courts of the Republic of Singapore, regardless of whether the claim, cause of action, or dispute arose prior to your agreement to these Terms. You also agree to submit to the personal jurisdiction of the courts of Singapore for the purpose of litigating any such claim.

YOU AGREE THAT YOU MUST INITIATE ANY PROCEEDING OR ACTION WITHIN ONE (1) YEAR OF THE DATE OF THE OCCURRENCE OF THE EVENT OR FACTS GIVING RISE TO A DISPUTE THAT IS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM.  OTHERWISE, YOU FOREVER WAIVE THE RIGHT TO PURSUE ANY CLAIM OR CAUSE OF ACTION, OF ANY KIND OR CHARACTER, BASED ON SUCH EVENTS OR FACTS, AND SUCH CLAIM(S) OR CAUSE(S) OF ACTION ARE PERMANENTLY BARRED.


Section 12. Miscellaneous

12.1 If we fail to exercise or enforce any right or provision of these Terms, it will not constitute a waiver of such right or provision.

12.2 If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these Terms to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

12.3 We may terminate these Terms and suspend your access to the Services at any time. Except in urgent cases (such as a material breach of these Terms, security risks, or to comply with legal obligations), we will provide you with reasonable advance notice. Any such termination will be without prejudice to our accrued rights, remedies, claims, or defenses.Upon termination, your right to access your account and UGC will cease. Subject to applicable laws (including your rights under data protection laws, where applicable), we are not obligated to maintain backups of your UGC indefinitely. However, you may request to export your data or exercise your right to erasure in accordance with our Privacy Policy. Following your deletion request or account termination, your UGC may persist in our backup or archival systems for a limited period as required by law or for legitimate business purposes, during which it will be securely isolated and processed in accordance with applicable data protection laws.
